1. Agreement to Terms

By accessing or using Matchling at matchling.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

The Service is provided by TronIT B.V., a company registered in the Netherlands (KvK: 72582723).

2. Description of Service

Matchling is a baby name matching application that allows expecting parents and their invited guests to discover and agree on baby names together. The Service uses AI technology to generate personalized name suggestions based on user preferences.

3. User Accounts and Sessions

3.1 No Account Required

Matchling does not require traditional user accounts. Instead, users create sessions with unique codes and invite tokens.

3.2 Session Ownership

The person who creates a session is considered the session owner and is responsible for managing participants and session settings.

3.3 Session Expiration

Sessions expire automatically based on the selected tier:

• Free: 7 days
• Premium: 30 days
• Premium+: 90 days
• Lifetime: Never expires

Upon expiration, all session data is permanently deleted and cannot be recovered.

4. Pricing and Payments

4.1 Pricing

Matchling offers both free and paid tiers. Paid tiers require a one-time payment - there are no subscriptions or recurring charges.

4.2 Payment Processing

All payments are processed securely by Stripe. By making a purchase, you agree to Stripe's terms of service.

4.3 Refund Policy

Due to the digital nature of our service and immediate access to personalized content, we generally do not offer refunds. However, if you experience technical issues that prevent you from using the Service, please contact us at [email protected] and we will work to resolve the issue or provide a refund at our discretion.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service
• Upload malicious code or content
• Use automated systems (bots, scrapers) to access the Service
• Abuse rate limits or attempt to circumvent usage restrictions
• Share invite links publicly in a way that could be abused
• Use the Service to harass, abuse, or harm others

6. AI-Generated Content

6.1 Name Suggestions

The name suggestions provided by Matchling are generated using AI technology. While we strive for accuracy, we make no guarantees about the accuracy of name meanings, origins, pronunciations, or other information provided.

6.2 No Endorsement

The inclusion of any name in our suggestions does not constitute an endorsement or recommendation. The final decision on naming your child is entirely your responsibility.

7. Intellectual Property

7.1 Our Content

The Service, including its design, features, and content (excluding user-generated content), is owned by TronIT B.V. and protected by intellectual property laws.

7.2 Your Content

You retain ownership of any content you provide (such as custom names you add). By using the Service, you grant us a limited license to use this content solely for providing the Service to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your privacy and never selling your data.

10. Limitation of Liability

To the maximum extent permitted by law, TronIT B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or EUR 50, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless TronIT B.V. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in the Netherlands.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TronIT B.V. regarding the Service and supersede any prior agreements.
